End User License Agreement
This End User License Agreement (“Agreement”) governs your access to and use of the Weddle Data Platform and its related integrations (the “Application”), provided by Weddle and Sons, Inc. and its affiliate Weddle Professional Roofing, LLC (collectively, “Weddle”). By accessing or using the Application, you (“User”) agree to be bound by this Agreement.
1. License Grant
The Application is an internal business tool. Weddle grants authorized Users a limited, non-exclusive, non-transferable, revocable license to access and use the Application solely for Weddle’s internal business purposes and only in accordance with their authorization. The Application is not licensed or distributed to the general public.
2. Acceptable Use
Users agree not to:
- Use the Application for any unlawful purpose or in violation of any applicable law or regulation;
- Access data or functions beyond the scope of their authorization;
- Attempt to copy, modify, reverse engineer, or interfere with the Application or its security;
- Share access credentials or permit unauthorized parties to access the Application.
3. Third-Party Services
The Application integrates with third-party services, including Intuit QuickBooks Online and Microsoft Azure. Use of those services through the Application is also subject to the respective third party’s terms. Weddle is not responsible for the availability, accuracy, or practices of third-party services.
4. Ownership
The Application, including all software, content, and associated intellectual property, is owned by Weddle or its licensors. This Agreement does not transfer any ownership rights. Data accessed through connected services (such as QuickBooks Online) remains owned by Weddle or the applicable data owner.
5. Privacy
Use of the Application is also governed by our Privacy Policy, which describes how information is collected, used, stored, and protected.
6. Disclaimer of Warranties
The Application is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Weddle does not warrant that the Application will be uninterrupted, error-free, or that any data or accounting output will be free of inaccuracies.
7. Limitation of Liability
To the maximum extent permitted by law, Weddle shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or business, arising out of or relating to the use of or inability to use the Application.
8. Termination
Weddle may suspend or terminate any User’s access to the Application at any time, with or without cause. Upon termination, the rights granted under this Agreement immediately cease.
9. Governing Law
This Agreement is governed by the laws of the State of Kansas, without regard to its conflict-of-law principles.
10. Changes to This Agreement
Weddle may update this Agreement from time to time. Continued use of the Application after changes take effect constitutes acceptance of the revised Agreement.
